Result of EGM

General Capital Group plc (AIM:GENC), the independent asset and venture finance specialist, announces that, at the Extraordinary General Meeting held today, all of the resolutions proposed to shareholders (as set out in its circular to shareholders dated 6 March 2007) were duly passed.
The EGM was held to approve resolutions to, amongst other matters, authorise the Directors to place up to 7,692,400 new Ordinary Shares at 130 pence per share to raise £10 million (before expenses) with institutional and other investors. Further, all the conditions pursuant to the conditional acquisition agreement to purchase the entire issued share capital of Norton Folgate FG plc have been satisfied and 812,307 new Ordinary Shares have been issued to the selling shareholders as part of the consideration payable by the Company.
The new Ordinary Shares will be admitted to trading on AIM at 8.00 a.m. on Friday, 30 March 2007.
Total Voting Rights
For the purposes of the Financial Services Authority's Disclosure and Transparency Rules, the Company's issued share capital consists of 25,133,042 ordinary shares of 90p each, with one voting right per share. There are no shares held in treasury.
The total number of voting rights in the Company is therefore 25,133,042.
The figure of 25,133,042 may be used by shareholders as the denominator for the calculations by which they will determine if they are required to notify their interest in, or a change to their interest in, the Company, under the Disclosure and Transparency Rules.
